These Terms of Service (“Terms”) govern your use of the valet parking and vehicle services platform operated by Valet Guide (“Company,” “we,” “us,” or “our”). By using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.


1. Definitions

  • “Service” means the Valet Guide platform, including the website, guest portal, and all related tools and services.
  • “Operator” means the valet parking company or business that uses the Valet Guide platform to manage its valet operations at a specific location.
  • “Guest” or “you” means any individual who checks in a vehicle for valet service through the platform.
  • “Ticket” means the digital valet ticket created when a vehicle is checked in to the Service.

2. The Platform

Valet Guide provides a technology platform that enables valet operators to manage vehicle check-in, tracking, retrieval, and payment. Valet Guide is the technology provider, not the valet service provider. The valet parking service itself is provided by the Operator at each location. Your contractual relationship for the valet service is with the Operator, not with Valet Guide.

We facilitate communication, payment processing, and service coordination between you and the Operator through our platform.


3. Eligibility

You must be at least 18 years of age and hold a valid driver’s license to use the valet service. By checking in a vehicle, you represent that you are the registered owner of the vehicle or have the owner’s authorization to submit it for valet service.


4. Vehicle Check-In and Retrieval

4.1 Check-In

When you check in your vehicle, you agree to provide accurate information, including your phone number and vehicle details. You may be asked to acknowledge the condition of your vehicle at check-in. You are responsible for securing all personal belongings before handing over your vehicle.

4.2 Retrieval

You may request vehicle retrieval through the guest portal link provided via SMS or by notifying the Operator directly. Retrieval times vary based on location, staffing, and demand. Neither the Operator nor Valet Guide guarantees a specific retrieval time.

4.3 Vehicle Condition

The Operator is responsible for the care and custody of your vehicle while it is in the Operator’s possession. Any claims regarding vehicle damage must be directed to the Operator at the time of retrieval or as soon as the damage is discovered. Valet Guide, as the technology provider, is not liable for damage to your vehicle while in the Operator’s care.

4.4 Personal Property

Neither the Operator nor Valet Guide is responsible for personal property left in your vehicle, including but not limited to electronics, cash, jewelry, documents, or other valuables. Remove all valuables before check-in.

4.5 Accessibility

Operators using the Valet Guide platform are expected to comply with the Americans with Disabilities Act (ADA) and applicable California accessibility requirements. If you require accessibility accommodations for your vehicle or service experience, please notify the Operator at check-in.

4.6 Abandoned Vehicles

A vehicle that is not retrieved within 72 hours after the Operator’s posted closing time may be considered abandoned. The Operator reserves the right to have abandoned vehicles towed at the vehicle owner’s expense in accordance with California Vehicle Code §22953 and other applicable law. The Operator is responsible for complying with all required signage, notice, and 24-hour contact number requirements before initiating any tow.


5. Payments and Fees

5.1 Service Fees

Valet service fees are set by the Operator at each location and are displayed at the time of check-in or payment. By completing a payment through the platform, you agree to pay the fees shown at the time of the transaction.

5.2 Payment Processing

Payments are processed by our third-party payment processor. By submitting payment, you agree to our payment processor’s applicable terms of service. We do not store your full payment card details on our servers.

5.3 Refunds

Refund eligibility and policies are determined by the Operator. If you believe you are entitled to a refund, contact the Operator at the service location. If a refund is issued, a non-refundable service processing fee may apply.

5.4 Chargebacks

If you initiate a chargeback or payment dispute with your card issuer, we reserve the right to provide the Operator’s service records, including check-in/retrieval timestamps and vehicle information, as evidence in response to the dispute.

5.5 Gratuities

Gratuities for valet attendants are voluntary and not required. Any gratuity processed through the platform is passed directly to the Operator for distribution to its staff.


6. SMS Communications

By providing your phone number at check-in and consenting to receive SMS, you agree to receive transactional text messages related to your valet service. See our Privacy Policy Section 4 for full SMS terms, including message frequency and opt-out instructions.


7. Guest Portal

The guest portal is provided for your personal use to track your vehicle status and request retrieval. You agree not to:

  • Share your guest portal link or verification code with unauthorized individuals.
  • Attempt to access tickets or vehicle information belonging to others.
  • Use the portal for any unlawful purpose or in any way that could damage, disable, or impair the Service.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.

8. Termination and Suspension

Valet Guide reserves the right to suspend or terminate your access to the guest portal at any time, with or without notice, if we believe you have violated these Terms, engaged in fraud, abused the Service, or engaged in conduct that threatens the security or integrity of the platform.

For suspected fraud or immediate security threats, we may suspend access immediately without advance notice. For other violations of these Terms, we will provide reasonable notice where practicable and an opportunity to cure if applicable.

Upon termination or suspension of your access, you will lose the ability to use the guest portal to track vehicles or request retrieval. Termination does not relieve you of any obligation to pay outstanding fees, service charges, or other amounts owed through the platform.


9. License Plate Recognition

We use automated license plate recognition (“LPR”) technology to assist with vehicle identification at check-in. LPR data is used solely for the purpose of providing the valet service and is retained in accordance with our Privacy Policy. By using the Service, you acknowledge the use of LPR technology.


10. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is owned by Valet Guide and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable right to access and use the guest portal for its intended purpose. You may not copy, modify, distribute, or reverse-engineer any part of the Service.


11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy of vehicle status information displayed in the guest portal, as this information depends on timely updates by the Operator’s staff.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Valet Guide’s liability is limited to the technology platform. We are not liable for any damage, loss, or injury arising from the valet parking service itself, which is provided by the Operator.
  • IN NO EVENT SHALL VALET GUIDE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE SERVICE FEES RETAINED BY VALET GUIDE FROM YOUR TRANSACTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


13. Indemnification

You agree to indemnify, defend, and hold harmless Valet Guide and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your breach of these Terms.
  • Your violation of any applicable law or regulation.
  • Any misrepresentation regarding your authority to submit a vehicle for valet service.
  • Any third-party claim arising from your wrongful or negligent conduct in connection with the Service.

14. Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, power failures, internet or telecommunications outages, pandemics, labor disputes, or acts of terrorism. In the event of a force majeure event affecting the platform, we will use commercially reasonable efforts to restore the Service as soon as practicable and will notify affected users of any material service disruption.


15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

15.2 Informal Resolution

Before initiating any formal proceedings, you agree to first contact us at support@valetguide.com and attempt to resolve any dispute informally for at least thirty (30) days. We will respond to your dispute notice within fifteen (15) business days.

15.3 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.

15.4 Claims Related to Valet Service

Claims related to the physical valet parking service (vehicle damage, personal property, service quality) should be directed to the Operator. Valet Guide will reasonably cooperate with the Operator in resolving such claims but is not a party to the valet service agreement between you and the Operator.


16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and provide notice via the email address or phone number associated with your most recent service visit at least fifteen (15) days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.


17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.


18. Release and Waiver of Unknown Claims

To the extent permitted by applicable law, you expressly waive California Civil Code Section 1542, which provides:

“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

This waiver applies only to claims against Valet Guide in its capacity as the technology platform provider and does not affect any claims you may have against the Operator for the valet parking service.


19. Entire Agreement

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Valet Guide regarding your use of the Service. These Terms supersede any prior agreements or understandings regarding the Service.


20. Operator Terms

This section applies exclusively to Operators who use the Valet Guide platform to manage valet operations. By creating an Operator account, you agree to these additional terms.

20.1 Service Scope

  • Valet Guide provides a technology platform for managing valet operations.
  • Valet Guide is NOT the valet service provider — that’s the Operator.
  • The platform includes: digital ticketing, payment processing, SMS notifications, guest portal, and reporting.
  • The platform is provided at no subscription cost; revenue comes from per-transaction service fees charged to Guests.

20.2 Operator Responsibilities

Operators represent and warrant that they:

  • Hold all required business licenses and permits for valet operations in their jurisdiction.
  • Maintain adequate staffing and training for safe vehicle handling.
  • Comply with all applicable local, state, and federal laws (including ADA, labor laws, and parking regulations).
  • Set accurate tax rates for each location (reference Section 5.1 for Guest-facing pricing requirements).
  • Obtain proper consent from Guests before submitting personal information (phone numbers, vehicle details) to the platform.

20.3 Insurance Requirements

Operators must maintain and provide proof of:

  • Commercial general liability insurance (minimum $1,000,000 per occurrence, $2,000,000 aggregate).
  • Garagekeepers legal liability insurance covering vehicles in care, custody, and control.
  • Workers compensation insurance as required by applicable law.
  • Automobile liability insurance covering owned, hired, and non-owned vehicles.

Insurance certificates must be uploaded during onboarding and renewed annually. Failure to maintain required insurance is a material breach of these Terms. Valet Guide reserves the right to suspend Operator access if insurance lapses.

20.4 TCPA and SMS Compliance

  • Operators are responsible for obtaining TCPA-compliant consent from Guests before submitting phone numbers.
  • Consent must be obtained at the point of vehicle check-in.
  • Operators must not submit phone numbers without Guest consent.
  • Operators must inform Guests that they will receive a transactional SMS with a link to track their vehicle.
  • Operators indemnify Valet Guide for TCPA violations arising from consent failures.

20.5 Data Processing

Valet Guide acts as a data processor on behalf of the Operator (controller) for Guest personal information. Processing is governed by the Data Processing Agreement, which Operators must accept separately.

20.6 Platform Fees

  • Guests pay a non-refundable service fee on each transaction.
  • The service fee is set by Valet Guide and may change with 30 days’ advance notice.
  • Valet service charges are set by the Operator and collected through the platform.
  • Funds are distributed to Operators via the integrated payment processor per the processor’s standard payout schedule.
  • Valet Guide retains the service fee and applicable payment processing costs.

20.7 Operator Account Termination

Operators may terminate at any time by contacting support@valetguide.com. Upon termination:

  • Pending payments are processed per the payment processor’s terms.
  • Operators must export their data before account closure using available reporting tools.
  • Data is retained per the retention schedule in the Privacy Policy, then deleted.

Valet Guide may terminate Operator access for material breach, including: insurance lapse, repeated TCPA violations, failure to maintain required licenses, or fraud.

20.8 Non-Solicitation

Operators shall not use the platform to recruit or solicit employees of other Operators whose information is not visible through the platform. This does not restrict general public job postings.
